The securities laws require that companies going public identify risk factors that could adversely affect the company?s stock. Facebook?s S-1 filing, which it sent to the SEC today, identified almost 40 such factors. A number of these risks are examples of technology law issues that almost any internet company would face, particularly companies whose product is the users.
(1) Advertising regulation. In providing detail about the nature of this risk, Facebook mentions ?adverse legal developments relating to advertising, including legislative and regulatory developments? and ?the impact of new technologies that could block or obscure the display of our ads and other commercial content.? Facebook is likely concerned about the various technological and legal restrictions on online behavioral advertising, whether in the form of mandatory opportunities for users to opt-out of data collection or or the more aggressive ?do not track? idea. The value of the advertising is of course tied to its effectiveness, and any technological, regulatory or legislative measures to enhance user privacy is a risk to Facebook?s revenue.
(2) Data security. No one knows exactly how much information Facebook has about its users. Not only does it have all the content uploaded by its 845 million users, it has the information that could be gleaned from the staggering 100 billion friendships among those users. [More stats] A data breach puts Facebook at risk of a PR backlash, regulatory investigations from the FTC, and civil liability to its users for negligence and other causes of action. But Facebook would not be left without remedy, having in its arsenal civil actions under the Computer Fraud and Abuse Act and the Stored Communications Act (among other laws) against the perpetrators. It is also likely the federal government would step in to enforce the criminal provisions of these acts as well.
(3) Changing laws. The section of the S-1 discussing this risk factor provides a laundry list of the various issues that online businesses face. Among them: user privacy, rights of publicity, data protection, intellectual property, electronic contracts, competition, protection of minors, consumer protection, taxation, and online payment services. Facebook is understandably concerned that changes to any of these areas of the law, anywhere in the world, could make doing business more expensive or, even worse, make parts of the service unlawful. Though not mentioned by name here, SOPA, PIPA, and do-not-track legislation are clearly in Facebook?s mind when it notes that ?there have been a number of recent legislative proposals in the United States . . . that would impose new obligations in areas such as privacy and liability for copyright infringement by third parties.?
(4) Intellectual property protection. The company begins its discussion of this risk with a few obvious observations, namely, how the company may be adversely affected if it is unable to secure trademark, copyright or patent registration for its various intellectual property assets. Later in the disclosure, though, Facebook says some really interesting things about open source:
As a result of our open source contributions and the use of open source in our products, we may license or be required to license innovations that turn out to be material to our business and may also be exposed to increased litigation risk. If the protection of our proprietary rights is inadequate to prevent unauthorized use or appropriation by third parties, the value of our brand and other intangible assets may be diminished and competitors may be able to more effectively mimic our service and methods of operations.
(5) Patent troll lawsuits. Facebook notes that internet and technology companies ?frequently enter into litigation based on allegations of infringement, misappropriation, or other violations of intellectual property or other rights.? But it goes on to give special attention to those ?non-practicing entities? (read: patent trolls) ?that own patents and other intellectual property rights,? which ?often attempt to aggressively assert their rights in order to extract value from technology companies.? Facebook believes that as its profile continues to rise, especially in the glory of its IPO, it will increasingly become the target of patent trolls. For now it does not seem worried: ?[W]e do not believe that the final outcome of intellectual property claims that we currently face will have a material adverse effect on our business.? Instead, those endeavors are a suck on resources: ?[D]efending patent and other intellectual property claims is costly and can impose a significant burden on management and employees?.? And there is also the risk that these lawsuits might turn out badly, and Facebook would have to pay judgments, get licenses, or develop workarounds.
(6) Tort liability for user-generated content. Facebook acknowledges that it faces, and will face, claims relating to information that is published or made available on the site by its users, including claims concerning defamation, intellectual property rights, rights of publicity and privacy, and personal injury torts. Though it does not specifically mention the robust immunity from liability over third party content provided by 47 U.S.C. 230, Facebook indicates a certain confidence in the protections afforded by U.S. law from tort liability. It is the international scene that gives Facebook concern here: ?This risk is enhanced in certain jurisdictions outside the United States where our protection from liability for third-party actions may be unclear and where we may be less protected under local laws than we are in the United States.?

At the beginning, they were bullish on any positive news, and then funneled all their money into Treasuries ? with a return of around 2% ? when that ?good news? turned out to be less than credible.

And so with all the volatility, the clear strategy was to reduce risk while gaining the best possible return. For this reason, dividend-paying stocks have been attracting investors of all types for their high yields and market-trumping returns. The yields of dividend-payers have dwarfed those of 10-year Treasuries.
But when everyone is preaching the same game plan, there can be some drawbacks. So we must ask: With all their newfound popularity, have dividend paying stocks become too pricey?
Here are three important factors to look at:
- Investors poured $31.3 billion into mutual funds and exchange-traded funds that invest in dividend payers last year, nearly five times the amount in 2010, according to researcher Lipper Inc.
- All equity funds and ETFs lost around $33.5 billion.
- Stocks, in the Standard & Poor?s 500 Index, that pay dividends posted a 1.4% total return in 2011, while non-payers fell 7.6%.
The flood of funds into dividend payers is making their stocks more expensive.
Here?s how it usually happened over the years; dividend stocks trade at lower price-to-earnings ratios, with the expectation that they?ll grow less quickly than other stocks.
This still remains true. However, the gap between payers and non-payers is shrinking. If you look at the end of 2010, the average price-to-earnings ratio of non-payers in the S&P 500 was 37% higher than the average P/E for payers; presently it?s at 33%.
This recent phenomena has been caused by the introduction of the short-term investor into the dividend market and the drawback of the higher prices could mean that they may not be able to duplicate last year?s strong performance. The fact that the sector is ?en vogue? has also seen some yields push down.
Don?t Fret Long-Term Investors

And because many companies increased their dividends over the course of 2011, dividend investors will be getting more income through 2012. ?Unless companies cut [their dividends], you almost have to get a double-digit increase this year,? Silverblatt says.
Don?t Overpay
Investors should focus on companies that are still growing their dividends and not chase yields. ?Dividend growers are great inflation protection because that yield is increasing every year,? says Steven Roge, a portfolio manager at R.W. Roge & Company. And if the yield is rising, he says the underlying fundamentals of the company are likely improving, too.

KANEOHE BAY, Hawaii (AP) ? A Hawaii-based Marine lance corporal accused of hazing in Afghanistan is going to jail for 30 days and will have his rank reduced to private first class for punching and kicking a fellow Marine who killed himself shortly afterward.
Navy Capt. Carrie Stephens, the judge in Lance Cpl. Jacob Jacoby's special court-martial, handed down the sentence after Jacoby, 21, pleaded guilty to assault.
The Marine admitted he punched and kicked Lance Cpl. Harry Lew of Santa Clara, Calif. As part of the plea deal, prosecutors withdrew charges that Jacoby humiliated and threatened Lew.
Stephens said she found no evidence that Jacoby's abuse of Lew caused Lew to kill himself, and she didn't take the suicide into account when determining the sentence.
Two other Marines have also been accused of hazing Lew and face courts-martial.
Jacoby said he acted out of anger and frustration that his fellow Marine had repeatedly fallen asleep while on watch for Taliban fighters.
He told the court he wanted to talk to Lew, to find out why he kept falling asleep, and to help him stay awake. But Jacoby said he got angry when Lew spoke to him in a disrespectful manner, even though Lew was putting the lives of the Marines at their patrol base in danger by dozing off.
Before sentencing, Jacoby said he was sorry and that he wanted to take responsibility for his actions.
"I allowed my emotions and frustrations to get the best of me, and acted out against a fellow Marine," Jacoby said.
He said he will never forget the pain and humiliation of being court-martialed, and believes he can use his experience to help other Marines.
Marine Capt. Jesse Schweig said the government was confident Jacoby is capable of rehabilitating himself.
But Schweig asked the judge to sentence Jacoby with an eye on deterring similar behavior. He said Jacoby should be given a bad conduct discharge.
"If this is how you're going to approach and motivate your peers, then you do not need to be a part of the service," Schweig said in closing remarks at the sentencing hearing.
Navy Lt. John Battisi, Jacoby's attorney, said Jacoby lost his temper and struck Lew ? but argued Jacoby made sure to hit Lew on his body armor where he was best protected.
He also asked the judge to keep in mind the circumstances the Marines were in, and that the chain of command hadn't addressed Lew's sleeping problem and instead had left the issue in Jacoby's hands that night.
"We're asking him to control his emotions and gain emotional maturity in the heat of battle," Battisi said in his closing remarks.
Lew committed suicide April 3 at a patrol base in Helmand province, shortly after the abuse. The 21-year-old was a nephew of U.S. Rep. Judy Chu.
Two other Marines also are accused of hazing Lew before he shot himself with his machine gun in his foxhole. Sgt. Benjamin Johns, the leader of the squad the Marines belonged to, and Lance Cpl. Carlos Orozco III will have their own separate courts-martial later.
Both Marines watched the court proceedings Monday.
Lew's father, Allen Lew, testified during the sentencing hearing that his son wanted to join the Marines because he felt it was "the best."
He said was shocked to hear about his son's death, and his legs buckled when Marines came to his house at 7:30 a.m. with the news in April.
"My son died ? I have only one son," Lew said. He said he doesn't understand how Marines could do the things they did to their own.
Chu, D-Calif., attended the hearing. "I want to make sure that there is justice for Harry. And I want to support these brave persons, his parents," she told reporters beforehand.
The attorney representing Johns said he was concerned the presence of a politician will taint the process and interfere with justice.
"How do I get a fair jury? What implicit message is she trying to send to those panel members?" said Tim Bilecki, a defense attorney who specializes in military clients.
Chu said that wouldn't be the case. "I'm not going to be saying anything in the trial. All I'm doing is being here. I'm here for the family to support them," she said.
The case involves the actions of Marines at an isolated patrol base the U.S. was establishing to disrupt Taliban drug and weapons trafficking in Helmand province.
Squad members and officers had tried different methods to get him to stay awake, including referring him up the chain of command for discipline and taking him off patrols so he could get more rest.
But on Lew's last night, when he fell asleep again, those efforts escalated into alleged acts of violence and humiliation, according to the charges. The Marines were accused of punching and kicking him, making him do push-ups and pouring sand in his face.
A central issue in the case has been whether the Marines intended to humiliate and harm Lew or discipline him so he would stop falling asleep while on watch duty.
Before Lew put the muzzle of his machine gun in his mouth and pulled the trigger, he scrawled a note on his arm: "May hate me now, but in the long run this was the right choice I'm sorry my mom deserves the truth.

Major GOP 'super PAC' raised $51 million in 2011 (AP)
WASHINGTON ? American Crossroads, the Republican "super" political committee that plans to play a major role in this year's presidential campaign, raised more than $51 million along with its nonprofit arm last year, The Associated Press has learned.
The figures from Crossroads ? the group backed by former George W. Bush adviser Karl Rove ? are among the first financial reports being made public Tuesday, the deadline for super PACs and presidential candidates to file financial reports with federal election officials. The Crossroads PAC alone has about $15.6 million cash on hand ? a sizable figure as it prepares to hit the airwaves this year to help defeat President Barack Obama.
The financial strength of Crossroads underscores the extraordinary impact super PACs could have on this year's race for the White House. In GOP primaries so far, groups working for or against presidential candidates have spent roughly $25 million on TV ads ? about half the nearly $53 million spent on advertising so far to influence voters in the early weeks of the race.
Crossroads' financial reports, which the AP obtained ahead of the Federal Election Commission, identify wealthy donors who had given contributions reaching as high as seven figures by the end of 2011. Among the largest contributors is Dallas businessman Harold Simmons, who gave the group $5 million last November and whose holding company, Contran Corp., donated an additional $2 million.
Simmons is a major donor to GOP and conservative causes who pumped as much as $4 million into the "swift boat" campaign that helped sink Democratic presidential nominee Sen. John Kerry in 2004. Simmons, an early supporter of Texas Gov. Rick Perry's presidential run, also was a fundraising "bundler" putting donations together for Arizona Sen. John McCain.
Other super PACs have already had a major effect this primary season. One group, for instance, effectively saved Newt Gingrich's candidacy, while another tore into him in Florida and elsewhere. At the minimum, the groups' spending is a precursor to the general election ? when super PACs aligned with both Republicans and Obama plan to dole out even larger sums.
These groups are the products of a 2010 Supreme Court ruling that removed restrictions on corporate and union spending in federal elections. The groups can't directly coordinate with the candidates they support, but many are staffed with former campaign workers who have an intimate knowledge of a favored candidate's strategy.
Since this summer, the groups have spent tens of millions on ads in key GOP primary states like Iowa, New Hampshire, South Carolina and Florida. The PACs have also unleashed millions on expenses typically reserved for campaigns, including direct mailings, phone calls and get-out-the-vote efforts.
Few groups are likely to be as influential as American Crossroads, which plans to raise hundreds of millions of dollars this election cycle and enlists support from high-profile GOP figures such as former Mississippi Gov. Haley Barbour.
Crossroads' financial reports show other large donors such as Joseph W. Craft III, a Tulsa businessman whose Alliance Holdings, a major coal producer, gave $425,000. Other contributions include: $500,000 from Dallas-based Crow Holdings; $250,000 from Chicago philanthropist and GOP supporter Janet Duchossois, and $100,000 from Sam Zell, a Chicago real estate billionaire whose Tribune media company is now in bankruptcy.
Outside spending by individuals isn't new. Liberal-leaning billionaire George Soros gave more than $20 million to help groups supportive of Kerry ? these groups were known as "527" organizations ? and his 2004 White House bid. But the high court's Citizens United ruling essentially gave a green light to individuals who want to pump unlimited sums into outside groups that would in turn support candidates.
The Obama campaign on Tuesday disclosed a list of 61 people who raised at least half a million dollars for the president's re-election efforts. Among them are movie producers Jeffrey Katzenberg and Harvey Weinstein and embattled former New Jersey Gov. Jon Corzine, whose $70,000 in contributions from himself and his wife were refunded by the Obama campaign and the Democratic National Committee.
A handful of other financial filings began trickling in to the Federal Election Commission Tuesday afternoon, mostly from candidates who had dropped out of the presidential race and from their once-supportive super PACs.
Perry, the Texas governor who was an early star in the Republican primaries, raised an anemic $2.9 million this past quarter, compared with $17.2 million within the first two months of his entering the race last summer. The Jon Huntsman-leaning Our Destiny super PAC raised about $2.8 million ? with more than $1.8 million coming from his father, Jon Huntsman Sr.
Endorse Liberty, a group supportive of libertarian-leaning Rep. Ron Paul of Texas, said it raised $3.9 million for online advertising in key primary states.
